Effective: June 1, 2026

These Terms of Service constitute a legally binding agreement between you ("Firm User," "you," or "your") and Kveldo ("Kveldo," "we," "us," or "our"), a Pennsylvania limited liability company, governing your use of the Kveldo platform, including the practice management application, secure client portal, AI intake extraction services, and all related software, documentation, and support services (collectively, the "Service").
By creating an account, accepting these Terms, or using the Service, you represent that: (a) you are at least 18 years of age; (b) you have the authority to bind the entity on whose behalf you are acting; and (c) you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
To use Kveldo, you must register for an account. You agree to:
You may authorize staff members as additional users under your account. You are responsible for their use of the Service and for revoking access promptly when a staff member leaves your firm or should no longer have access.
Kveldo offers monthly subscription plans as described on our Pricing page. Pricing is per staff seat (not per client). Client portal users (your clients) are always free. Prices shown on our Pricing page are the complete price — no hidden module fees, setup fees, or onboarding fees.
Subscriptions are billed monthly in advance on the date you created your paid account. Payment is processed via Stripe. By subscribing, you authorize Kveldo to charge your payment method on file automatically each billing period.
We will notify you of any price changes at least 30 days before they take effect. Price increases apply at your next billing renewal, not mid-cycle. We will not retroactively increase prices for an active billing period.
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. There are no cancellation fees. After cancellation:
Kveldo offers a 14-day free trial with no credit card required. The trial includes every feature of the Service with one exception: a custom domain (app.yourfirm.com) is not provisioned during a trial, because it creates DNS records outside our control that would persist if the trial lapsed. At the end of the trial you must choose a paid plan to continue. If you do not select a plan, your account enters a read-only export window and is deleted after that window closes. The current trial length and read-only window are shown on the signup page and in your account, and are read from your plan record rather than fixed by this document.
You retain full ownership of all data you input into Kveldo, including all client records, documents, messages, and firm information ("Your Data"). We claim no intellectual property rights over Your Data.
You grant Kveldo a limited, non-exclusive license to store, process, and transmit Your Data solely to the extent necessary to provide the Service to you. This license ends when you cancel your account and we complete deletion of your data.
You are responsible for:
Kveldo and all of its underlying technology, software, design, trademarks, logos, and brand elements are the exclusive property of Kveldo. You may not copy, modify, reverse engineer, or create derivative works of any part of the Service.
You agree to use Kveldo only for lawful purposes in connection with operating a legitimate accounting, tax, or bookkeeping practice. You agree not to:
Kveldo's AI intake extraction and AI drafting assistant features use large language model technology provided by enterprise-tier AI services. By using these features, you acknowledge:
When you invite your clients to use the Kveldo client portal, you represent that you have authority to share their email address or phone number with Kveldo for the purpose of sending them portal invitations.
Your clients who access the portal ("Client End Users") are subject to our Client Portal Terms of Use (a separate, simpler agreement). You are responsible for ensuring your clients understand they are accessing a third-party software service.
You are responsible for all documents and communications sent to clients through the platform. Kveldo is not responsible for the accuracy of any tax or financial information you communicate to your clients.
We target 99.9% monthly uptime for the Kveldo platform. Scheduled maintenance windows will be announced via in-app notice at least 24 hours in advance and are typically scheduled outside business hours.
Service credits for downtime: If monthly uptime falls below 99.9%, eligible Firm Users may request a pro-rated credit for affected downtime. Credits are limited to the monthly subscription fee and must be requested within 30 days of the incident.
Kveldo is not liable for unavailability caused by: events outside our reasonable control (force majeure), your actions or those of third parties, or scheduled maintenance.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KVELDO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KVELDO'S TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO KVELDO IN THE 12 MONTHS PRECEDING THE CLAIM.
KVELDO IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF KVELDO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms limits liability for: (a) death or personal injury caused by our negligence; (b) fraud; or (c) anything that cannot legally be excluded under applicable law.
You agree to indemnify, defend, and hold harmless Kveldo and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; (d) any claim by your clients arising from your services to them; or (e) any allegation that Your Data infringes a third party's rights.
Informal Resolution: Before filing any legal action, you agree to contact us at [email protected] and give us 30 days to attempt an informal resolution.
Binding Arbitration: If we cannot resolve a dispute informally, disputes will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will take place in Pittsburgh, Pennsylvania. Class actions and class arbitrations are waived — all disputes must be brought on an individual basis.
Governing Law: These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
Exception: Either party may seek injunctive or other equitable relief in a court of competent jurisdiction for violations of intellectual property rights or confidentiality obligations.
You may cancel your account at any time (see Section 3.4). We may suspend or terminate your account immediately if: (a) you materially breach these Terms and do not cure the breach within 10 days of notice; (b) we reasonably believe your use poses a security risk or legal liability; or (c) we are required to do so by law.
Upon termination by us for cause, we will provide you with a data export opportunity except where prohibited by law or where your use was fraudulent or abusive.
We may update these Terms. For material changes, we will provide at least 30 days' notice via email and in-app notification before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must cancel your account before the effective date.
